Terms of Service

1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of our matchmaking platform and related services (the "Service"). By using the Service, you agree to these Terms.

These Terms form a legally binding agreement between you and Zoojly.

The Service is a matchmaking platform and is not therapy or a mental health care service.

2. Eligibility

  • You must be at least 18 years old.
  • You must have legal capacity to enter into these Terms.
  • You must provide accurate information and keep it updated.
  • You may not use the Service where prohibited by law.
  • You represent that you meet any eligibility requirements presented during signup.

3. Accounts and Security

  • You are responsible for safeguarding your account credentials.
  • You are responsible for activity that occurs under your account.
  • You must notify us promptly if you suspect unauthorized access or misuse.
  • You may not impersonate others or create accounts in a misleading way.
  • Unless we approve otherwise, you may maintain only one account per person.

4. Subscriptions and Billing

Some features require a paid subscription. Prices, billing intervals, and included features are described in the Service and may change from time to time.

  • Subscriptions renew automatically until canceled.
  • Cancellation takes effect at the end of the current billing period.
  • Fees are non-refundable except where required by law.
  • Payments are processed by third-party payment processors and may be subject to their terms.
  • We may change pricing with advance notice where required by law.

5. Acceptable Use

You agree to use the Service lawfully and respectfully. You may not harass or abuse others, post unlawful or infringing content, attempt to access data that is not yours, interfere with the Service's security or operations, or use automated systems (such as bots or scrapers) without permission.

You also agree to comply with our Code of Conduct, which is incorporated into these Terms by reference.

6. Content and Intellectual Property

You retain ownership of content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and otherwise use the content as necessary to operate, maintain, and improve the Service and to enforce these Terms.

You are responsible for your content. We may review, remove, or restrict content or accounts that we believe violate these Terms or may harm the Service or other users, but we have no obligation to monitor content.

We and our licensors own the Service and all related software, design, branding, and content (excluding your submitted content). You may not copy, modify, distribute, or create derivative works except as permitted by law.

7. Safety and Disclaimers

Match recommendations are suggestions. We do not guarantee any particular outcome, including that you will receive matches or form a relationship.

You are solely responsible for your interactions with other users, including any communications and any offline interactions. Use good judgment and take appropriate precautions.

We do not guarantee the identity of users or the accuracy of user-provided information. We may change, suspend, or discontinue any part of the Service at any time.

To the maximum extent permitted by law, you release Zoojly and its owners, officers, directors, employees, and agents from claims arising out of or related to your interactions with other users or third parties, including offline interactions.

The Service is provided "as is" and "as available" to the maximum extent permitted by law, without warranties of any kind.

8. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms, create risk for others, or as otherwise permitted by law.

Your use of the Service is also governed by our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, Zoojly will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or other intangible losses.

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) one hundred dollars ($100).

10. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Zoojly and its owners, officers, directors, employees, and agents from claims arising from your use of the Service, your content, or your violation of these Terms or applicable law.

11. Governing Law and Venue

These Terms are governed by the laws of Delaware, excluding conflict-of-law rules.

Unless applicable law requires otherwise, disputes will be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised "Last updated" date. Your continued use of the Service after the update takes effect means you accept the revised Terms.

13. Miscellaneous

  • Entire agreement: These Terms and the Privacy Policy are the entire agreement regarding the Service.
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our consent; we may assign these Terms.
  • Force majeure: We are not liable for delays or failures due to events beyond our reasonable control.
